Learning Outcomes

The participants shall be able to understand the basic legal structure of many business vehicles in Egypt, in addition to recognizing how to introduce a sound governance regime at your client’s organization in a professional manner.

Who is the Client? – It is important to understand who the client is, his interests and whether the transaction shall be undertaken on behalf of your client solely, or joined by another party. This has a direct effect on the legal structure and the proper advice to be given within negotiations.

Understanding Accounting Principles, Financial Statements and Business Valuations – Clients generally concentrate on this area and it is important for lawyers to be familiar with basic accounting and financial principles.

Managing the pre and post incorporation process – Managing and meeting your client’s expectations is vital. Thus, pacing the deal according to a concrete and strong path will have a positive impact on the long run. On the other hand, rushing the deal may lead to the missing/skipping of important steps, whilst taking too long might make the whole deal fall through.

Content and Structure.

(1) Different types of business vehicles (capital companies-partnerships), their pros and cons and which one would suit your client needs;

(2) A guideline on how to set-up any business vehicle in Egypt;

(3) What to consider pre-incorporation and post-incorporation;

(4) Prepare and draft all the meetings’ minutes (ordinary and extra-ordinary assemblies) including board meetings, along with the relevant paperwork;

(5) Employment and social insurance relationship, standard employment contracts and all related matters from hiring to dismissal;

(6) An overview on Intellectual Property Rights;

(7) Draft and conclude shareholders agreements (investment agreements);

(8) Consolidation of the business vehicle (M& As, demergers and Joint Ventures); and

(9) Dissolution of the business (e.g. liquidation).
